They discussed fractional <a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/shares\/\">shares<\/a>: that they do not belong in <a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/isa\/\">Individual Savings Accounts (ISAs)<\/a> because they don\u2019t meet ISA regulations. This means, potentially, that they should be taxed.&nbsp;<\/p>\n\n\n\n<p>This is a big deal. Why? ISAs are meant to be tax-free! So let\u2019s figure out what the heck is happening and leave the panic at the door (or better yet, at the disco) because it\u2019s a lot to digest and there\u2019s lots of jargon.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What\u2019s an ISA?<\/h2>\n\n\n\n<p>An Individual Savings Account (ISA) is a type of savings account where you can save \u00a320,000 a year, tax-free. This means you don\u2019t have to pay tax on any profits you make from it.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Types of ISAs<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Cash ISA<\/li>\n\n\n\n<li>Stocks and Shares ISA<\/li>\n\n\n\n<li>Innovative Finance ISA<\/li>\n\n\n\n<li>Lifetime ISA<\/li>\n\n\n\n<li>Help to Buy ISA (closed to new applicants)<\/li>\n\n\n\n<li>Junior ISA<\/li>\n<\/ul>\n\n\n\n<p>In this blog, we\u2019re specifically talking about Stocks and Shares ISAs.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What happened with HMRC, ISAs and tax?<\/h2>\n\n\n\n<p>HMRC\u2019s view on fractional shares in S&amp;S ISAs has been the talk of the town over the last few months &#8211; but not in a good way. Considering <a href=\"https:\/\/www.ft.com\/content\/5849ad2e-2c11-4294-a334-f7c480f7a1eb\" target=\"_blank\" rel=\"noreferrer noopener\">Jeremy Hunt plans to simplify ISAs<\/a>, which will be announced at the <a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/autumn-budget\/\">Autumn Budget<\/a> that\u2019s creeping up, many expect a clarification.<\/p>\n\n\n\n<p>All in all, things look cloudy at best. <a href=\"https:\/\/www.ft.com\/content\/69f5f445-98b7-4911-8e36-d26bd2545344\">The Financial Times reported<\/a> that HMRC had a meeting with \u201cindustry figures and Treasury officials\u201d where they doubled down on their opinion that tax-free ISA accounts shouldn\u2019t hold fractional shares. It\u2019s quite a confusing subject in general and you need a lot of existing tax\/ISA\/shares knowledge for it to make sense.<\/p>\n\n\n<\/div> <!-- .c-body -->\n\n<div class=\"b-highlight-mini m-yellow m-align-left\">\n    <div class=\"b-block-body\">\n        <h3><strong>What\u2019s a share?<\/strong><\/h3>\n<p><span style=\"font-weight: 400;\">A share is a piece of a company. They\u2019re also sometimes called stocks. If you own a share, you\u2019re a shareholder. You can get shares by:<\/span><\/p>\n<ul>\n<li><span style=\"font-weight: 400;\">Starting your own <a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/limited-company\/\">LTD<\/a><\/span><\/li>\n<li>Receiving shares from the company you work for<\/li>\n<li>Buying them through a broker or investment app<\/li>\n<\/ul>\n\n    <\/div>\n<\/div> <!-- .b-highlight-mini -->\n\n<div class=\"c-body\">\n\n\n\n\n<h2 class=\"wp-block-heading\">What are fractional shares?<\/h2>\n\n\n\n<p>A fractional share is just a fraction of a share. In other words, it means an amount of a share that doesn\u2019t add up to a whole share.<\/p>\n\n\n\n<p>&nbsp;Many platforms don\u2019t allow investors to buy fractional shares. Newer platforms aimed at young investors, like Moneybox, Freetrade, Trading212 and InvestEngine do.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">In terms of investing<\/h3>\n\n\n\n<p>If someone wants to buy a share of Amazon but can\u2019t invest too much all at once, they can buy portions of it. If you buy half an Amazon share every month from January and end up with 6 Amazon shares at the end of the year in December.<\/p>\n\n\n<\/div> <!-- .c-body -->\n\n<div class=\"b-highlight-mini m-blue m-align-left\">\n    <div class=\"b-block-body\">\n        <h3><strong>Why do people buy fractional shares?<\/strong><\/h3>\n<ul>\n<li><span style=\"font-weight: 400;\">It\u2019s more affordable <\/span>\n<ul>\n<li>It gives smaller, younger investors the opportunity to start building for their financial future<\/li>\n<\/ul>\n<\/li>\n<li><span style=\"font-weight: 400;\">To diversify your portfolio<\/span>\n<ul>\n<li>Some investors prefer to keep their portfolios diverse and balanced to avoid risk<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">Being able to have access to fractional shares allows you to build wealth over time and diversify your investments within your own financial means.<\/span><\/p>\n\n    <\/div>\n<\/div> <!-- .b-highlight-mini -->\n\n<div class=\"c-body\">\n\n\n\n\n<h2 class=\"wp-block-heading\">Why are fractional shares controversial to have in your tax-free ISA?<\/h2>\n\n\n\n<p>Interestingly enough, this issue was actually raised earlier this year, when HMRC raised concerns over <a href=\"https:\/\/www.legislation.gov.uk\/uksi\/1998\/1870\/contents\" target=\"_blank\" rel=\"noreferrer noopener\">The Individual Savings Account Regulations 1998<\/a>. It was brought to the public\u2019s attention in July 2023.\u00a0<\/p>\n\n\n<\/div> <!-- .c-body -->\n\n<div class=\"b-highlight-mini m-yellow m-align-left\">\n    <div class=\"b-block-body\">\n        <h3 style=\"text-align: center;\"><strong>The issue:\u00a0<\/strong><\/h3>\n<p style=\"text-align: center;\">Investment apps allow you to buy fractional shares but technically you don\u2019t own them. You only have a right to a fraction. It\u2019s actually called a <a href=\"https:\/\/www.investopedia.com\/articles\/stocks\/09\/trade-a-cfd.asp#:~:text=Contracts%20for%20differences%20(CFDs)%20are,trade%20prices%20are%20cash%2Dsettled.\" target=\"_blank\" rel=\"noreferrer noopener\">contract for difference (CFD)<\/a>.<\/p>\n\n    <\/div>\n<\/div> <!-- .b-highlight-mini -->\n\n<div class=\"c-body\">\n\n\n\n\n<p>A CFD is:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>A derivative (so you don\u2019t own it)<\/li>\n\n\n\n<li>The agreement between you and your financial broker (like Moneybox, etc.)<\/li>\n\n\n\n<li>Based on the change in the share\u2019s price<\/li>\n\n\n\n<li>Usually done over a short period of time<\/li>\n<\/ul>\n\n\n\n<p>HMRC is arguing that according to 30-year-old ISA regulations, derivatives can\u2019t be part of tax-free ISA offerings. <\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p><a href=\"https:\/\/www.thisismoney.co.uk\/money\/diyinvesting\/article-12229611\/Now-Isa-shelter-isnt-safe-taxman-targets-sliced-shares.html\">This Is Money reports<\/a> that an HMRC spokesperson said \u201cfractional shares cannot be held in an ISA. ISA managers must make sure the investments they offer are ISA eligible\u201d.<\/p>\n<\/blockquote>\n\n\n\n<h2 class=\"wp-block-heading\">Why were fractional shares allowed to be offered in the first place?<\/h2>\n\n\n\n<p>Good question. Although the investment platforms that offer fractional shares in their ISAs are regulated by the <a href=\"https:\/\/www.fca.org.uk\/\" target=\"_blank\" rel=\"noreferrer noopener\">Financial Conduct Authority<\/a>, no issues were raised.<\/p>\n\n\n\n<p>ISA regulations do not specifically allow or disallow fractional shares. If HMRC interprets the legislation differently than the brokers did, it begs the question: shouldn\u2019t HMRC or the FCA have let the brokers know there\u2019s a grey area in some of their offerings and refuse to allow them to offer fractional shares in their ISAs?<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Will I have to pay tax on my ISA?<\/h2>\n\n\n\n<p>Hopefully not. Thanks to HMRC\u2019s ambiguous statements, no one is quite sure what they\u2019re thinking and how they expect to move forward.&nbsp;<\/p>\n\n\n\n<p><strong>There are a few options on how they could proceed, but without any confirmation, it\u2019s speculative<\/strong>:<\/p>\n\n\n<\/div> <!-- .c-body -->\n\n<div class=\"b-columns-mini m-align-left\">\n    <div class=\"b-columns-mini__container\">\n\n        \n        \n        <div class=\"b-columns-mini__item m-nude\">\n                                    \n            <div class=\"b-columns-mini__item-content\">\n                <div class=\"b-block-body\">\n                    <ul>\n<li><span style=\"font-weight: 400;\">Your broker will have to pay the tax to HMRC<\/span><\/li>\n<li><span style=\"font-weight: 400;\">The shares from your ISA will be moved to a General Investment Account (GIA) and you\u2019ll have to pay <\/span><a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/capital-gains-tax-cgt\/\"><span style=\"font-weight: 400;\">Capital Gains Tax<\/span><\/a><span style=\"font-weight: 400;\"> when you sell (on profit more than the <\/span><a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/capital-gains-tax-allowance\/\"><span style=\"font-weight: 400;\">CGT allowance<\/span><\/a><span style=\"font-weight: 400;\">)<\/span><\/li>\n<\/ul>\n\n                <\/div>\n            <\/div>\n        <\/div>\n\n        \n        \n        <div class=\"b-columns-mini__item m-nude\">\n                                    \n            <div class=\"b-columns-mini__item-content\">\n                <div class=\"b-block-body\">\n                    <ul>\n<li><span style=\"font-weight: 400;\">You\u2019ll have to pay tax on <\/span><a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/dividends\/\"><span style=\"font-weight: 400;\">dividends<\/span><\/a><span style=\"font-weight: 400;\"> you receive from fractional shares<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Nothing happens and fractional shares remain allowable in ISAs<\/span><\/li>\n<li>You don&#8217;t have to pay tax but fractional shares are no longer allowed in ISAs<\/li>\n<\/ul>\n\n                <\/div>\n            <\/div>\n        <\/div>\n\n        \n        \n    <\/div>\n<\/div> <!-- .b-columns-mini -->\n\n<div class=\"c-body\">\n\n\n\n<\/div> <!-- .c-body -->\n\n<div class=\"b-highlight-mini m-neutral m-align-left\">\n    <div class=\"b-block-body\">\n        <p><b>Capital gains tax<\/b><span style=\"font-weight: 400;\"> rates in the 2025\/26 tax year. However, there\u2019s no need to worry just yet.&nbsp;More than likely, if there is tax to be paid, HMRC will require the ISA managers to pay it.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">The Autumn Budget as a beacon of light<\/h2>\n\n\n\n<p>Limiting the investing opportunities of people trying to better their future can be unpopular &#8211; especially when it affects the smaller and younger investors most.&nbsp;<\/p>\n\n\n\n<p>Hunt is due to address this in the Autumn Budget as part of his plan to make investing more accessible in the UK. Let\u2019s hope HMRC are also on the same page.
