In others, you can wait. Figuring out which option is best for you can depend on a few things.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Choosing a limited company&nbsp;<\/h3>\n\n\n\n<p>What\u2019s a limited company? It\u2019s an organisation you set to run your business, which means you wouldn\u2019t be completely or wholly responsible for it. It creates a separation between your personal finances and debts and your business ones.&nbsp;<\/p>\n\n\n\n<p>In terms of tax liabilities, first, you need to decide how you\u2019re going to pay yourself:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Through a salary -&gt; set up a <a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/paye\/\">PAYE<\/a> scheme for yourself<\/li>\n\n\n\n<li>Through<a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/dividends\/\"> dividends<\/a> -&gt; your company will have to pay <a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/company-tax\/\">Corporation tax<\/a><\/li>\n\n\n\n<li>Or a combination of both<\/li>\n<\/ul>\n\n\n\n<p>If you\u2019re a <a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/company-director\/\">director<\/a>, you\u2019ll also need to pay <a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/national-insurance\/\">National Insurance<\/a> for both yourself as an employee and as an employer.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Choosing to stay a sole trader<\/h3>\n\n\n\n<p>What\u2019s a <a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/sole-trader\/\">sole trader<\/a>? A sole trader is, you guessed it, a self-employed person! It\u2019s just a fancy (legal) way of saying it.<\/p>\n\n\n\n<p>When you\u2019re a sole trader, the legal line between your business finances and debts and your personal ones is blurred. To be frank, it\u2019s almost nonexistent.&nbsp;<\/p>\n\n\n\n<p>Tax implications for a sole trader are a little different. You\u2019ll pay Income Tax on your self-employed income, minus allowable expenses.&nbsp;<\/p>\n\n\n\n<p>For National Insurance, you\u2019ll need to pay <a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/class-4-national-insurance\/\">Class 4<\/a>.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Step 2: The pre-preparation<\/h2>\n\n\n\n<p>Before we even get into the documents you need, the websites you have to visit and the people you need to talk to, <a href=\"https:\/\/www.gov.uk\/set-up-limited-company\" target=\"_blank\" rel=\"noreferrer noopener\">HMRC<\/a> has a list of things they recommend you do to get your limited company affairs in order from the get-go.&nbsp;<\/p>\n\n\n\n<p>We like to call this stage, pre-preparation. It never hurts to be overprepared!<\/p>\n\n\n\n<p>Here\u2019s HMRC\u2019s list:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Choose a name&nbsp;<\/li>\n\n\n\n<li>Choose directors and a company secretary<\/li>\n\n\n\n<li>Decide who the <a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/shareholder\/\">shareholders<\/a> or guarantors are + people with significant control<\/li>\n\n\n\n<li>Prepare documents agreeing on how to run your company<\/li>\n\n\n\n<li>Check what records you\u2019ll need to keep<\/li>\n\n\n\n<li>Register your company&nbsp;<\/li>\n<\/ol>\n\n\n\n<p>It\u2019s completely up to you how you want to run your company, how many directors you want, etc. Usually, when starting off, limited companies will have just one director (and alas, no secretary) &#8211; that would be you, the owner. Let\u2019s carry on.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Step 3: Records you\u2019ll need to keep<\/h2>\n\n\n\n<p>The two types of records you need to keep are company records and financial\/accounting records. Specifically:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Records about the company specifically<\/li>\n\n\n\n<li>Financial and accounting records<\/li>\n<\/ul>\n\n\n<\/div> <!-- .c-body -->\n\n<div class=\"b-cta-mini m-yellow m-align-left\">\n    \n    <div class=\"b-cta-mini__content\">\n\n        \n        <h2 class=\"b-cta-mini__title\">Don&#8217;t get caught out by HMRC&#8217;s random compliance checks<\/h2>\n\n        \n        \n        <div class=\"b-cta-mini__body\">\n            <div class=\"b-block-body\"><p>HMRC does random checks to make sure you&#8217;re paying your taxes properly by checking your company and accounting records.<\/p>\n<p>Get a professional, accredited accountant to make sure all your records are in order and to sort and file your company tax return and annual accounts to HMRC and Companies House, respectively.<\/p>\n<\/div>\n        <\/div>\n\n        \n        \n        <div class=\"b-cta-mini__action\">\n\n            <a href=\"https:\/\/taxfix.com\/en-uk\/assessment\/companyReturn\" class=\"c-button m-large  m-mobile-fullwidth\">Get Started<\/a>\n\n\n        <\/div>\n\n        \n    <\/div>\n<\/div> <!-- .b-cta-mini -->\n\n<div class=\"c-body\">\n\n\n\n\n<h3 class=\"wp-block-heading\">Company records<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Information about the directors, shareholders and company secretaries<\/li>\n\n\n\n<li>Results of any shareholder votes\/resolutions<\/li>\n\n\n\n<li>Loans, when they\u2019ll be paid back (specific date) and to whom<\/li>\n\n\n\n<li>Indemnities documents &#8211; if something goes wrong and it\u2019s your company\u2019s fault, you will need to make payments for it<\/li>\n\n\n\n<li>Documents showing the transactions when someone buys shares in your company<\/li>\n\n\n\n<li>All loans and\/or mortgages taken against company assets<\/li>\n\n\n\n<li>A list of \u2018<a href=\"https:\/\/assets.publishing.service.gov.uk\/media\/5a81fe5ded915d74e6235368\/170622_NON-STAT_Summary_Guidance_4MLD_Final.pdf\" target=\"_blank\" rel=\"noreferrer noopener\">people with significant control<\/a>\u2019 (PSC) A.K.A someone who:\n<ul class=\"wp-block-list\">\n<li>Has more than 25% shares or voting rights in your company<\/li>\n\n\n\n<li>Has the ability to appoint\/remove a majority of directors<\/li>\n\n\n\n<li>Can influence\/control your company or trust<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<p><strong>These documents are usually kept at the company\u2019s registered address. If that\u2019s not the case for you, you\u2019ll need to let <a href=\"https:\/\/taxfix.com\/en-uk\/glossary\/companies-house\/\">Companies House <\/a>know.&nbsp;<\/strong><\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Financial\/accounting records<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>All the outgoings (money spent) by your company<\/li>\n\n\n\n<li>Details on assets owned by your company<\/li>\n\n\n\n<li>Debts your company owes or is owed<\/li>\n\n\n\n<li>Stock your company owns at the end of the financial year<\/li>\n\n\n\n<li>The stocktakings you used to work out the stock figure<\/li>\n\n\n\n<li>All goods bought and sold<\/li>\n\n\n\n<li>Who you bought and sold them to and from (unless you run a retail business)<\/li>\n\n\n\n<li>All money spent by the company &#8211; receipts, petty cash books, orders, and delivery notes<\/li>\n\n\n\n<li>All money received by the company &#8211; invoices, contracts, sales, books, and till rolls<\/li>\n\n\n\n<li>Any other relevant documents like bank statements and correspondence<\/li>\n<\/ul>\n\n\n<\/div> <!-- .c-body -->\n\n<div class=\"b-highlight-mini m-nude m-align-left\">\n    <div class=\"b-block-body\">\n        <p>\ud83d\udea8You can be fined \u00a33,000 or disqualified as a company director by HMRC if you do not keep accounting records.<\/p>\n\n    <\/div>\n<\/div> <!-- .b-highlight-mini -->\n\n<div class=\"c-body\">\n\n\n\n\n<p>You need to keep records for 6 years from the end of the last company financial year they relate to.&nbsp;<\/p>\n\n\n\n<p>Sometimes, you might have to keep them longer if:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>They show a transaction that covers more than one of the company\u2019s accounting periods<\/li>\n\n\n\n<li>The company has bought something expected to last more than 6 years, like equipment or machinery<\/li>\n\n\n\n<li>You sent your company tax return late&nbsp;<\/li>\n\n\n\n<li>HMRC has started a compliance check into your company tax return<\/li>\n<\/ul>\n\n\n<\/div> <!-- .c-body -->\n\n<div class=\"b-cta-mini m-yellow m-align-left\">\n    \n    <div class=\"b-cta-mini__content\">\n\n        \n        <h2 class=\"b-cta-mini__title\">Avoid sending a late company tax return\u2026<\/h2>\n\n        \n        \n        <div class=\"b-cta-mini__body\">\n            <div class=\"b-block-body\"><p>\u2026 by using Taxfix! This is where your business is being officially introduced &#8211; world, meet the new business. New business, meet the world.&nbsp;<\/p>\n\n\n\n<p>First, you\u2019ll need to register an official address and email address for your company and choose a SIC code. <a href=\"https:\/\/resources.companieshouse.gov.uk\/sic\/\" target=\"_blank\" rel=\"noreferrer noopener\">A SIC code identifies what your company does<\/a>.&nbsp;<\/p>\n\n\n\n<p>The address you register must be:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>A physical address in the UK<\/li>\n\n\n\n<li>In the same country your business is registered in&nbsp;<\/li>\n<\/ul>\n\n\n\n<p>You can\u2019t use PO box addresses to register your company.&nbsp;<\/p>\n\n\n<\/div> <!-- .c-body -->\n\n<div class=\"b-highlight-mini m-yellow m-align-left\">\n    <div class=\"b-block-body\">\n        <p>\ud83d\udea8Your company could be struck off the Companies House register if you don\u2019t provide a registered office address that meets all the requirements.<\/p>\n\n    <\/div>\n<\/div> <!-- .b-highlight-mini -->\n\n<div class=\"c-body\">\n\n\n\n\n<h3 class=\"wp-block-heading\">If you want to keep your address private<\/h3>\n\n\n\n<p>Remember, your company\u2019s registered address is publicly available on the online register. To keep your home address private, you have two options:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Use a different address&nbsp; &#8211; like an accountant&#8217;s or solicitors\u2019 (although don\u2019t forget to get their permission first or things could get awkward!)<\/li>\n\n\n\n<li><a href=\"https:\/\/www.gov.uk\/government\/publications\/formation-and-company-secretarial-agents\/company-formation-agents-and-secretarial-agents\" target=\"_blank\" rel=\"noreferrer noopener\">Appoint an agent<\/a> who will give you an address to use<\/li>\n<\/ol>\n\n\n\n<p>You must have the address sorted before you register your company.<\/p>\n\n\n\n<p>You\u2019ll also need to provide an email address. It won\u2019t be public info, but make sure it\u2019s accessible and you keep up to date on any emails you receive. Companies House can sometimes contact you via email about your company.&nbsp;Still asking yourself, &#8220;how do I set up a limited company?&#8221;? We&#8217;re almost there!<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Step 5: Register your company &#8211; hooray!<\/h2>\n\n\n\n<p>You can <a href=\"https:\/\/www.tax.service.gov.uk\/register-your-company\/setting-up-new-limited-company?_ga=2.61990696.562568312.1715787370-217262087.1697707395\" target=\"_blank\" rel=\"noreferrer noopener\">register your company <\/a>with Companies House through HMRC\u2019s website and register for Corporation Tax together. You might also need to <a href=\"https:\/\/www.gov.uk\/register-for-vat\" target=\"_blank\" rel=\"noreferrer noopener\">register for VAT<\/a>.<\/p>\n\n\n<\/div> <!-- .c-body -->\n\n<div class=\"b-highlight-mini m-blue m-align-left\">\n    <div class=\"b-block-body\">\n        <p>If you\u2019ve already registered your company but still need to register for Corporation Tax, you can <a href=\"https:\/\/www.gov.uk\/limited-company-formation\/set-up-your-company-for-corporation-tax\">follow this HMRC guide<\/a> using your business tax account.<\/p>\n\n    <\/div>\n<\/div> <!-- .b-highlight-mini -->\n\n<div class=\"c-body\">\n\n\n\n\n<p>Yipee, you\u2019ll get a \u2018certificate of incorporation\u2019. This confirms the company legally exists and shows the company number and date of formation.&nbsp;<\/p>\n\n\n\n<p>You\u2019ll need at least 3 pieces of personal information about yourself, your shareholders or guarantors:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Town of birth<\/li>\n\n\n\n<li>Mother\u2019s maiden name<\/li>\n\n\n\n<li>Father first name<\/li>\n\n\n\n<li>Telephone number<\/li>\n\n\n\n<li>National Insurance number<\/li>\n\n\n\n<li>Passport number&nbsp;<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Other important information:<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>It costs \u00a350 and can be paid by debit or credit card<\/li>\n\n\n\n<li>It usually takes 24 hours (longer if HMRC is experiencing delays)<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Other things you can do as you register:<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Register for PAYE to tell HMRC you\u2019re employing staff &#8211; this includes you as the director&nbsp;<\/li>\n\n\n\n<li>Continue an application if you\u2019ve already started registering<\/li>\n<\/ul>\n\n\n\n<p><a href=\"https:\/\/www.tax.service.gov.uk\/register-your-company\/setting-up-new-limited-company?_ga=2.61990696.562568312.1715787370-217262087.1697707395\" target=\"_blank\" rel=\"noreferrer noopener\"><strong>Register here!<\/strong><\/a><\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Other ways to register<\/h3>\n\n\n\n<p>You can also register by post (it costs \u00a371 which you\u2019ll have to pay by cheque made out to \u2018Companies House\u2019 and takes between 8 to 10 days), using an agent, or even using a third party.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Congratulations, you\u2019ve officially registered your company\ud83c\udf89<\/h2>\n\n\n\n<p>&nbsp;How do I set up a limited company?
